Terms of Service

Effective Date: September 1, 2026

These Terms of Service ("Terms") govern your engagement with Ulcorex Web for web development and frontend design services. By signing a proposal, paying an invoice, or otherwise engaging our services, you agree to these Terms.

1. Services

Ulcorex Web provides web development and interface design services, including the creation of websites and frontend interfaces for online platforms. Our services are limited to development and design deliverables as defined in individual project proposals or statements of work. Services do not include hosting, payment processing, domain registration, or ongoing management of client systems unless explicitly stated in writing.

2. Project Engagement

Each project begins with a written proposal or statement of work that outlines scope, deliverables, timeline, and pricing. Work commences upon receipt of the agreed deposit. Any scope changes must be agreed in writing and may affect timeline and cost.

3. Payment Terms

A deposit (typically 50%) is required before project work begins.
Remaining balances are due upon project completion or at milestones defined in the proposal.
Invoices are payable within 14 days of issuance unless otherwise agreed.
Late payments may incur a 1.5% monthly interest charge on outstanding balances.

4. Client Responsibilities

The client agrees to:

Provide timely feedback, content, assets, and access necessary for project completion.
Designate a primary point of contact for project communications.
Ensure all materials provided to Ulcorex Web are owned by the client or properly licensed for use.

5. Intellectual Property

Upon receipt of full payment, the client receives full ownership of custom code and design deliverables created specifically for their project. Ulcorex Web retains the right to display completed work in its portfolio unless the client requests confidentiality in writing. Third-party libraries, fonts, or tools incorporated into deliverables remain subject to their respective licenses.

6. Warranties & Limitations

Ulcorex Web warrants that services will be performed with reasonable skill and care. We do not warrant that deliverables will be error-free in all environments or browser configurations. Our liability is limited to the total fees paid by the client for the relevant project. We are not liable for indirect, consequential, or incidental damages.

7. Termination

Either party may terminate a project engagement with 14 days written notice. In the event of termination, the client is responsible for fees covering work completed to date. Deposits are non-refundable if work has commenced.

8. Governing Law

These Terms are governed by the laws of the State of Missouri, United States. Any disputes shall be resolved in the courts of St. Louis County, Missouri.

Refund Policy

Effective Date: September 1, 2026

This Refund Policy applies to all web development and frontend design services provided by Ulcorex Web. We aim to deliver high-quality work and handle all disputes fairly and transparently.

1. Deposits

All project deposits are non-refundable once work has commenced. The deposit covers initial project planning, discovery, and resource allocation. If a project has not started, a deposit refund may be considered at our discretion.

2. Milestone Payments

Payments made upon completion of defined project milestones are non-refundable once the milestone has been delivered and accepted — whether acceptance is explicit or implied by the passage of the review period specified in the proposal (typically 5 business days).

3. Final Payment

The final payment is due upon project completion and delivery of all agreed deliverables. It is non-refundable once the client has received the final files or code handover.

4. Revision & Dispute Process

If you are dissatisfied with a deliverable, please contact us within the review period. We will work with you in good faith to address concerns through revisions within the originally agreed scope. Requests outside the agreed scope may be quoted as additional work.

5. Exceptions

A full or partial refund may be issued in the following circumstances:

Ulcorex Web is unable to deliver the agreed scope and no resolution is reached.
A payment was made in error (e.g., duplicate charge) — subject to verification.

6. Chargebacks

We ask that clients contact us directly before initiating a chargeback. Unresolved chargebacks may result in suspension of services and recovery of costs including chargeback fees.

7. Non-Applicable Services

This policy does not apply to third-party tools, subscriptions, hosting, or domain services that may be recommended but are not provided directly by Ulcorex Web.
